1. AGREEMENT TO TERMS
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Midwest Data Systems LLC, a corporate entity organized under the laws of the State of Wyoming, United States (“Company”, “we”, “us”, or “our”), concerning your access to and use of the Sail software applications, websites, utilities, and data routing services (collectively, the “Service”).
By accessing or utilizing the Service, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these terms, then you are expressly prohibited from using the Service and must discontinue use immediately.
2. THE SERVICE & INTELLECTUAL PROPERTY
Sail is a proprietary software utility and data routing network owned and operated by Midwest Data Systems LLC. Unless otherwise indicated, the Service, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws of the United States and international conventions.
3. SUBSCRIPTIONS AND COMMERCIAL PAYMENTS
To facilitate global distribution, localized tax compliance, and secure payment processing, all commercial software transactions, billing management, and user checkout flows are securely managed by our third-party Merchant of Record, FastSpring. By subscribing to the Service, you agree to comply with FastSpring’s billing terms and conditions.
4. ACCEPTABLE USE AND PROHIBITED ACTIVITIES
The Service is engineered exclusively for legitimate data security, cryptographic packet encapsulation, and network optimization. You may not access or use the Service for any purpose other than that for which we make the Service available. As a condition of use, you agree not to utilize the infrastructure to:
- Engage in any illegal activity or violate any applicable local, state, national, or international laws.
- Infringe upon the intellectual property rights of third parties.
- Interfere with, disrupt, or damage the integrity, performance, or operational security of our global server nodes.
5. LIMITATION OF LIABILITY
In no event will Midwest Data Systems LLC, its members, or its directors be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the service, even if we have been advised of the possibility of such damages.
6. GOVERNING LAW
These Terms of Service and your use of the Service are governed by and construed in accordance with the internal laws of the State of Wyoming, United States of America, applicable to agreements made and to be entirely performed within the State of Wyoming, without regard to its conflict of law principles.
